1.    PURPOSE AND SCOPE

Teknosa İç ve Dış Ticaret A.Ş. recognizes that risk management holds a central role in all its operations and believes that risks bring not only potential threats but also opportunities. With this belief, it is foreseen that "sustainable growth" will be achieved through effective risk management. Furthermore, in line with its mission to "create value for its stakeholders," risk management is considered a priority.

This policy sets out the principles that guide Teknosa’s risk management processes and approaches, expresses Teknosa’s commitment to managing risks effectively, and is fully supported by senior management.

All departments and employees of Teknosa are responsible for implementing and supporting the Risk Management Policy and its related procedures, while the Risk, Compliance and Business Continuity Department is responsible for overseeing the management of these processes.

Through this policy, Teknosa’s risk management approach is shared transparently with all stakeholders, with the aim of ensuring continuous improvement.

2.    POLICY

At Teknosa, risk is regarded as a concept that encompasses not only threats but also opportunities, and in order to manage these risks in the most effective manner, risk management is implemented as a continuous and systematic process. Efforts are undertaken to embed a risk culture throughout Teknosa, and assurance is provided to ensure that the right business is conducted by taking the right amount of risk.

In line with the importance attached to risk management at Teknosa, the Risk, Compliance and Business Continuity Department operates under the direct reporting line to the Chief Executive Officer. At the same time, detailed risk reports are periodically submitted to the Early Detection of Risk Committee, thereby making a full contribution to the Committee’s oversight responsibility.

The risks encountered by Teknosa are monitored through identified Key Risk Indicators (KRIs). These indicators are continuously observed and reported periodically. Necessary actions are taken to manage the risks indicated by the key risk indicators.

Teknosa’s Risk Management Policy, along with the procedures established in line with this policy, sets out the principles and guidelines to be followed in the process of identifying, assessing, prioritizing, monitoring, and reporting the risks that may be encountered in the Company’s operations, as well as in determining and implementing the necessary measures and strategies in response to these risks. The following principles guide the risk management processes implemented by Teknosa:

Proactive Approach: Teknosa aims to address risks not only reactively but also through a proactive approach. This approach enables the early identification of potential threats and timely response to opportunities. Proactive risk management supports the organization in being better prepared for unexpected events, utilizing its resources more effectively, and taking more informed steps toward achieving its strategic objectives. This contributes to improved financial outcomes and safeguards Teknosa’s reputation and its relationships with stakeholders.

Holistic Management: At Teknosa, risk management is not seen as an isolated activity; rather, it is an integral part of the organization’s overall strategy, defined objectives, and business processes. Risks that may arise as potential threats or obstacles to strategic goals are identified, assessed, and continuously monitored.

Value Creation: Risk management not only seeks to prevent or control losses but also supports the achievement of organizational objectives. It aims to create sustainable value, considering not only threats but also opportunities while monitoring risks. It encourages sustainable growth, innovation, and strong relationships with stakeholders.

Continuous Improvement: Teknosa does not perceive its risk management processes and policies as static; instead, they are accepted as dynamic and evolving structures. Accordingly, improvements are continuously made to processes and policies based on measurement and evaluation outcomes. This enables the company to swiftly adapt to changing business environments and technological innovations, ensuring that its risk management strategy remains current and effective.

Culture and Awareness: Teknosa supports a corporate culture that promotes risk awareness and positive risk management behaviors. Open communication channels are encouraged for the exchange of information about risks. Training programs aim to increase all employees’ knowledge and awareness of risk management.

Effective Measurement and Evaluation: The methodology and processes for risk measurement and evaluation are defined in the relevant procedures. Key Risk Indicators (KRIs) are continuously measured and periodically reported. Based on inherent and residual risk scores, control levels and action plans are determined.
